Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by CraftLogica, registered at 800446, Str. Victor VĆlcovici nr. 1, Galați, Jud. Galați, Romania ("the Company", "we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

2. Scope of Services

CraftLogica provides web design, frontend development, visual architecture, and related digital services as described on our website and in individual project proposals. Each engagement is governed by a specific Statement of Work (SOW) or project proposal that forms part of these Terms.

3. Project Proposals & Statements of Work

All project proposals and Statements of Work issued by CraftLogica are valid for 14 calendar days from the date of issue unless otherwise specified. Acceptance of a proposal constitutes a binding agreement between the parties. Changes to the project scope, timeline, or deliverables must be documented in a formal change order signed by both parties.

4. Payment Terms

Milestone Payments: For projects exceeding €1,000, payment is structured in milestones: 40% upon project kickoff, 30% at midpoint review, and 30% upon final delivery.
Payment Due: All invoices are payable within 14 calendar days of issuance unless otherwise agreed.
Late Payment: Invoices not paid within the due period accrue interest at a rate of 1.5% per month on the outstanding balance.
Currency: All prices are quoted in EUR (€) unless explicitly stated otherwise.

5. Intellectual Property

Upon receipt of full payment, CraftLogica grants the client full ownership of all project deliverables, including source code, design files, and associated assets. CraftLogica retains the right to display the work in portfolio presentations and case studies unless the client explicitly opts out in writing. Pre-existing tools, libraries, and frameworks used in the project remain the intellectual property of their respective owners.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives the termination of the agreement for a period of 36 months. Confidential information shall not be disclosed to third parties without prior written consent.

7. Limitation of Liability

To the maximum extent permitted by applicable law, CraftLogica's total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by the client under the applicable project proposal. CraftLogica shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

8. Warranty

CraftLogica warrants that all deliverables will be free from material defects and will conform to the specifications outlined in the project proposal for a period of 30 days following final delivery ("Warranty Period"). During the Warranty Period, CraftLogica will remedy any defects at no additional cost. This warranty does not cover issues arising from unauthorized modifications, third-party integrations, or misuse by the client.

9. Termination

Either party may terminate the agreement with 14 calendar days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. If the client terminates without cause, a kill fee of 25% of the remaining project value may apply as outlined in the project proposal.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Romania. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Galați, Romania.

Service Level Agreement

1. Agreement Overview

This Service Level Agreement ("SLA") is entered into between CraftLogica, registered at 800446, Str. Victor VĆlcovici nr. 1, Galați, Jud. Galați, Romania, and the client, governing the service levels, support obligations, and remedies applicable to ongoing service engagements.

2. Uptime Guarantee

For hosted solutions and managed deployments, CraftLogica guarantees a minimum uptime of 99.5% per calendar month ("Uptime Commitment"). Uptime is calculated as total minutes in the month minus downtime minutes, divided by total minutes in the month, excluding scheduled maintenance windows.

3. Scheduled Maintenance

Scheduled maintenance windows shall be communicated to the client at least 72 hours in advance. Maintenance is performed during off-peak hours (02:00–06:00 EET, Monday through Friday) whenever possible. Scheduled maintenance does not count toward uptime calculations.

4. Support Response Times

5. Uptime Credits

If the Uptime Commitment is not met in a given calendar month, the client is eligible for service credits as follows:

99.0%–99.4% uptime: 10% credit on the monthly service fee.
95.0%–98.9% uptime: 25% credit on the monthly service fee.
Below 95.0% uptime: 50% credit on the monthly service fee.

Credits must be requested within 30 days of the incident and shall not exceed 50% of the monthly service fee. Credits are applied as a deduction against future invoices and are not redeemable for cash.

6. Exclusions

The Uptime Commitment does not apply to downtime caused by:

Force majeure events, including natural disasters, war, or government actions.
Client-side misconfigurations or unauthorized modifications to the deployed codebase.
Third-party service outages beyond CraftLogica's reasonable control.
Scheduled maintenance communicated in advance per Section 3.

7. Monitoring & Reporting

CraftLogica employs real-time monitoring tools to track service health and performance. Monthly uptime reports are available upon request. Clients with active SLA agreements receive automated uptime reports on the first business day of each month.

8. Termination of SLA

This SLA remains in effect for the duration of the active service engagement. Either party may terminate this SLA with 30 calendar days' written notice. Termination of the SLA does not affect any outstanding obligations or credits.
